American Barn Co, LLC — Terms & Conditions

American Barn Co, LLC (“American Barn Co,” “we,” “us,” or “our”) is headquartered at PO Box 1600, Murray, KY 42071-0029. We market and sell our products and services primarily in Arizona, New Mexico, and Colorado. We do not sell sheds in Kentucky at this time.

By accessing AmericanBarnCo.com, using our online design/quote tools (IdeaRoom), order and account tools (Shed Suite), or our communications (email/SMS), and any related online/offline services that link to these Terms (collectively, the “Services”), you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, do not use the Services.
We may update these Terms from time to time. The “Effective date” shows when changes took effect. Your continued use of the Services after updates means you accept the revised Terms.
You must be 18 or older (or have the consent of a parent/guardian) to purchase or submit personal information. When you create an account or submit information, you agree to provide accurate, current information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Our products, pricing, promotions, and delivery options apply only within Arizona, New Mexico, and Colorado, unless we state otherwise in writing. We may decline, cancel, or refund orders outside our service area. Content on the Services is not an offer in jurisdictions where we do not operate.
a) Quotes & designs. Design visualizers (IdeaRoom) and quotes (Shed Suite) are estimates based on options/configurations you select. Final specifications, pricing, taxes, delivery fees, site-prep requirements, and lead times are confirmed in your Sales Order.
b) Payments. Payments are processed by third-party providers. We do not store full credit card numbers. By submitting payment, you authorize the charge for the amount due and applicable taxes/fees.
c) Delivery & site access. You are responsible for ensuring site access and readiness per our published guidelines (clearances, level pad, utilities, permits, etc.). We may refuse, reschedule, or charge additional fees if conditions are unsafe or noncompliant.
d) Errors. We try to be accurate, but content may include typographical errors, inaccuracies, or omissions (including price, availability, specs). We may correct errors and update information at any time, including after you submit an order, subject to applicable law.
e) Conflicts. If these Terms conflict with a signed Sales Order or written warranty, the Sales Order/warranty controls for that purchase.
From time to time, we may run promotions (e.g., rebates, sweepstakes, dealer programs, or local events). Each promotion is subject to its official rules/terms, which control in the event of a conflict with these Terms.
By providing your contact information, you agree we may send you transactional communications (e.g., order updates, service notices). Marketing emails and texts are sent only if you opt in and are governed by our Messaging Terms & Conditions (for SMS) and our Privacy Policy.

All content on the Services—including text, graphics, logos, product images, icons, software, and other materials—is owned by American Barn Co or our licensors and is protected by applicable IP laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes (or internal business purposes if you are a dealer). You may not copy, modify, distribute, display, or create derivative works without our prior written permission.
Trademarks, trade dress, and logos of American Barn Co may not be used without our written authorization.
The Services may include or link to third-party tools and sites, including IdeaRoom, Shed Suite, Mailchimp, mapping, analytics, or payment processors. We are not responsible for third-party content, policies, or practices. Your use of third-party services is governed by their terms and privacy notices.
a) Site & Services (AS IS). The Site and general informational content are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, or non-infringement), to the fullest extent permitted by law.
b) Product warranties. Any written product warranty or workmanship warranty that accompanies your purchase applies to the extent expressly stated. Nothing in these Terms limits rights you may have under an applicable written warranty or non-waivable consumer protection laws.
To the fullest extent permitted by law, American Barn Co and its owners, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits or revenues; or loss of data or goodwill, arising out of or related to your use of (or inability to use) the Services or any third-party services, even if advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid (if any) to use the Services during the 12 months before the event giving rise to the claim. The foregoing limitations do not limit liability for gross negligence, willful misconduct, or injury where such limits are prohibited by law.
You agree to defend, indemnify, and hold harmless American Barn Co and our owners, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or misuse of the Services.
By using the Services, you consent to receive communications from us electronically (email, SMS, in-app, or postings on the Site). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Where applicable, you consent to transacting via electronic signatures and records (E-SIGN Act).
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information, and how to exercise your privacy rights.
We may suspend or terminate your access to the Services, in whole or part, at any time and for any reason, including if we reasonably believe you violated these Terms or applicable law. Provisions that by their nature should survive termination (e.g., IP ownership, disclaimers, limitations of liability, indemnification, and governing law/venue) will survive.
These Terms and any dispute or claim relating to them are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Kentucky (including courts sitting in or for Calloway County) for any action arising out of or relating to the Services or these Terms.
(If you prefer arbitration instead of court, say the word and I’ll convert this to an FAA-compliant arbitration clause with a small-claims carve-out.)
If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
These Terms, together with any Sales Order or written warranty applicable to a purchase and our Privacy Policy (and Messaging Terms for SMS), constitute the entire agreement between you and American Barn Co regarding the Services and supersede any prior or contemporaneous agreements on the subject matter.
